The purpose of the governing body, such as the board of directors, is to direct the organization in the right direction, monitor its performance, and set good policies. A highly effective board enables and directs management towards great business outcomes, and ensure the business is on the right track to reach well-defined business goals. However, the real boardroom dilemma is that driving the business forward is extremely difficult in today’s “VUCA” digital new normal. Here are five common boardroom mistakes might fail the business incidentally.

Fail to dig into the root cause of the crucial business problems: The corporate boards play the directorial role by scrutinizing both organizational vision and strategy to ensure business effectiveness, fueling the passion and guiding the top executive teams in the right direction. Boards oversee business strategy and fundamentally, the strategy is about diagnosing crucial business problems, making good choices, and taking actions for achieving well-defined business goals. The corporate board qualifies the areas of the organization by reviewing important business components such as key strategies, mission, vision, brand, and performance targets. The corporate boards bring the outlier’s view and often have the multidisciplinary understanding of crucial business problems, mainly at the strategic level. They are able to sense that the digital transformation is multifaceted and highly volatile, help the top management identify blind spots, clarify priorities, and avoid pitfalls on the way. Developing forward-looking assessment framework, that is able to identify risks and catch attention at the board level in a manner that brings about the right conversation regarding risk management among the board members. The board must be comfortable that management is identifying and appropriately responding to risk, and that the board itself is apprised of the most significant risks facing the company.

Underestimate the importance of information and technology and innovation oversight:
In the digital world with enormous transformations, more often, technology is the disruptive force or game changer. Underestimate the importance of information and technology at the board level would significantly limit the potential of the business. IT-friendly board should change the perspective to understand the power of information and the potential of technology. It's a clear signal that boards need a set of competencies within their ranks to demonstrate knowledge of business architecture and the business use of the nexus of digital technologies that are increasingly driving growth. Board Directors are particularly involved in overseeing and understanding of more traditional IT issues, such as the status of IT portfolio management and their companies’ annual IT budgets, as well as overseeing and understanding risks related to compromising customer data. Innovation happens at the intersection of market insight and technological know-how. Innovation is increasingly technology-dependent. Innovation is simply too critical to delegate to the management without the board oversight and guidance which helps in prioritizing the innovation as a key strategy.

Lack the in-depth understanding of diversity:
Conventional wisdom defines diversity based on physical identities such as gender or race, but even you have the seemly diverse group of people, if they practice the same “inbox” thinking, without the cognitive difference, group thinking will still rule the day. Develop a truly heterogeneous board with the cognitive difference, diverse background, the variety of experience and fresh perspective, is important to fill leadership blindspots, bridge insight gaps, make sound judgments, and improve decision effectiveness. “Diversity of thoughts” should be the deciding factor for the board to embrace inclusiveness. ‘Thoughtful candor' at the board is offering a different way of thinking about a situation or problem that moves the conversation forward. The important issue is how the board accommodates diverse opinions and how they assess them and converge the diverse thought into wise decisions.  High-performance board directors are real "thought partners" with senior management as they bring up the fresh viewpoints, pinpoint crucial issues that the management perhaps ignores, and consider the long term goals beyond quarterly earnings. If boards set the leadership tone for embracing cognitive diversity and appreciate independent thinking, people at the different level of the organization will start to think, understand, learn and work together leading to better decisions and greater performance.


Blur the fine line between governance and management: Governance, which is over sighted by Board of Directors, is about the act of guiding, influencing and regulating the decisions and behaviors of the entire workforce, management included, to drive multi-dimensional and sustainable value-creation to the shareholders and customers. Governance is all about conformance and performance. It means to conform to laws/regulations etc, and performing well to achieve business goals. However, to lead effectively, Board Directors need to understand the difference between being a director and the operator of the business, to avoid conflict,  bureaucracy, or unnecessary management complexity. To avoid micromanagement, boards are more as problem-definer than the direct problem-solving because they often delegate the well-defined problems to management for solving them or implementing solutions to tailor varying circumstances. Corporate governance operates by the BoDs should delegate authority downward to a series of governance committees and boards with responsibility for investment, risk, compliance, finance, compensation, architecture, policy, etc. Effective governance facilitates the successful functioning of an organization while ensuring there are adequate controls in place to operate responsibly in accordance with its values but not to the extent of restricting the aspiration to achieve its vision through an ambitious mission.

In terms of a holistic'viewpoint,' one does often need to integrate different stereotyped or mechanistic viewpoints; it is the integration and searches for new viewpoints that are holistic. A holistic perspective is a zoom out view and works well when deploying, conceiving, or rethinking a system: The digital business today is not only just about working within the industry, but also permeating cross-ecosystem which is dynamic, continuous, and interactive. Tunnel vision happens that every side of the fence, commercial and technical, under the silo walls, misbelieve the relevance and difficulties of each other’s works. Tunnel vision happens when people work as a group, not as a cohesive team. The tunnel effect causes bureaucracy, diminishes trust, decreases productivity, and decelerate business speed. Therefore, being able to zoom out and take a holistic view is an increasingly important skill in complex situations where it is impossible to predict the behavior of the whole from the behavior of the parts; and where the relationships between component parts are more important than the parts themselves. To gain the in-depth understanding of interdependence, it is important to apply System Thinking to view the digital organization as an interconnected and interdependent whole; and run a holistic business in a structural way under complex, uncertain and ambiguous circumstances.

A holistic perspective helps to both understand the problem from different angles and solve it thoroughly: If the situation is very natural and fluid, with a lot of inter-dependencies, it takes a holistic view, calls for systems thinking for problem-solving. Behind every problem is a relationship dynamic out of the alignment. People have a tendency to try to fix a symptom which results from the actual cause of the problem. Until the underlying problem is addressed, the symptom will continue to return. Thus, it is important to take a holistic approach to solve real problems. The zoom-out view helps to understand the interaction and interrelationship dynamic, diagnose the root cause of problems, and ensure that the business as a whole is superior to the sum of parts. Further, there needs to be a better appreciation to examine a situation and understand the problem from different angles and zoom out to see the larger system and their part in the mess, in order to come out with the optimal solutions without too many side effects.

Try to see the ‘big picture’ and take a more holistic view of the business as a system to make sure that the whole is greater than the sum of its parts: Due to the digital characteristics such as hyperconnectivity and interdependence, Systems Thinking is important for the management to understand the interconnectivity between parts and the whole, look at each function in the enterprise as a system and then, finding a unified means of looking at the essence. Businesses are systems. Digital businesses are dynamic and keep evolving. It is sometimes useful to define the system then look for or at its emergent properties. You might use "Emergent Property" to mean a property that surprisingly emerges in system operation.

 You might use "Emergent Property" to mean a property that emerges after a system change such as a company merger. You might use "Emergent Property" for composite system variable value that is more or less than the sum of partial system variable values. You might use "Emergent Property" to mean any outcome of a system in operation. How to develop sensitivity to digital emergence in order to manage digital business systematically?

It is important for the organization to identify emergent business properties: The two most basic systemic structures are the balancing cycle and the growth cycle; and their emergent characteristics just happen to be balance and growth, which would sort of implying that any system must have emergent characteristics. This is also normal in business, but it generally doesn't work well because managers are trained to try to design for emergence using reductionist approaches and not surprisingly the reductionist toolkit doesn't fit the systems thinking task. With the faster paces of changes and continuous disruptions, digital organizations today have to enable desirable emergent property. Thus, planning and forecasting become challenging, and planning fallacy turns to be a business reality. It’s important to figure out the “right level” of planning, or take the dynamic planning to keep iterating, adjusting, evolving, and working on a rhythm of sustained products or services deliveries. It is important for the organization to identify emergent business properties, as well as how information is associated with the valued tangibles of businesses; products and resources; like information flows in processes, for example, then its own value will become readily apparent and quantifiable by association with the force of business growth, allowing creativity and innovation to flow, enabling business capabilities, and how information can empower the business to leapfrog the digital transformation.

Start with a set of outcomes and then model the system that does or could produce them: To achieve the planned business result, it’s useful and normal in Systems Thinking (ST) to work the other way round, to start with a set of emergent properties and then model the system that does or could produce them. The term "outcomes" seems better than "emergent properties" since the latter is restricted to having the very peculiar characteristic that they are properties only of the whole system - not any partial system. Whereas outcomes are not restricted by that peculiar characteristic. Since more often, you cannot clearly point to either the whole or its parts. And you can rarely state that the whole is required for the property to be observed. Most system outcomes can be achieved with only some or a few parts. It is useful and normal to start with a set of outcomes and then model the system that does or could produce them. Also, it is useful to define the system then look for or at its outcomes.

Create business synergy, which is just the business term for a desirable emergent property: Synergy creation implies the emergent business capability being built via certain business activities, process tuning or talent development. Many people have lost the meaning of synergy and fail to realize that it is supposed to mean an emergent property and so they blithely assume that there is no difference between a cost saving and gain in synergy. Complex systems are rife with unintended consequences. It captures reality, the reality that systems have what is known as "emergent properties," properties of the whole that are not properties of the parts. Not understanding this is responsible for virtually all of our social and societal problems. The healthy planning-adjusting-evolving digital refinement cycle creates the business synergy to strive vigorously in leading digital transformation. Digital businesses become more dynamic and hyperconnected, organizations have to enable the desirable emergent property, either being called synergy or ongoing capability because they are the business competency and key differentiator to build high-performing digital businesses.

So every system is a construct of the mind. Emergence is a universal phenomenon that can be defined mathematically in a very general way. This is useful for the study of scientifically legitimate explanations of complex systems, defined as hyperstructures. A requirement is that the observation mechanisms are considered within the general framework. In philosophy, almost all accounts of emergence include a form of irreducibility. Every system is like three sides of a con, this side, that side and the integrative relationship between them. Using math, the formula looks like"(this, that) interaction = whole." The focal point of digital management is based on the future trend, based on the varying situations; and based on what the system requires for its long-term sustenance.

The business becomes complex if things do interact, particularly in the case of "non-linear" interaction, the multilayered diversification, and interdependent relationships. How to neutralizing differences to improve organizational maturity?

Neutralize polarization: The digital world is nonlinear and ambiguous, also multi-dimensional and uncertain. However, many leaders and business professionals still keep the old “bipolar thinking” habits built in the industrial age; for them, the answer is either right or wrong; people are either friend or enemy, and the world is either black or white; there are no shades in between. Thus, digital leaders and professionals shouldn’t take things for granted, they have to challenge conventional wisdom or some automatic assumptions about the problem, broaden their viewpoints, share a natural affinity for new perspectives, fresh ideas, and collective insight, and neutralizing differences in order to harmonize and move forward.

Neutralize internal politics & competition:
It’s no surprise to know that many of today’s businesses are running as a sum of pieces, not a holistic whole. There are silos, overly rigid hierarchical pyramids, internal politics & competitions, and empires to consider in those organizations. It can have many other stakeholders and their egos, personal agendas as well. There are also a variety of business detractors such as communication gaps, decision bottlenecks, weak process links, outdated procedures, or bureaucracies, etc. Most of the organizations today are process and control driven, those processes become inflexible and stifle changes. To keep information flow, and thus, business flow across its ecosystem, it is the management's job to neutralize and determine when healthy competition is in order and when co-operation is preferable. Neutralizing is not always about compromising, it's about harmonizing and making positive changes. It is important to keep communication open and creative, proactively collect feedback from staff at the different level of the organization, neutralize internal politics or competitions, make an ongoing resource, process, and capability alignment to ensure that the business as a whole needs to be integrated seamlessly to improve organizational maturity.


Neutralize cultural difference: Culture is a collective mindset and attitude. Digital businesses often have their own culture themes based on their history, principles, and team building. In many large complex organizations, there are many subcultures in different divisions or geographical locations. You cannot consider culture as one element of the strategy execution unless you can identify the dominant cultures, subcultures, and the layers of those cultures. We can learn a lot from different mindsets (thought processes), cultures and positions, so organizations as a whole can be competitive enough to keep surging further. Forward-looking leaders will model and establish the framework and environment for neutralize cultural difference and develop the culture of learning, inclusiveness, and innovation. In some cases, organizational culture is so powerful and even then will be able to influence the surrounding societies of the organization.
